Terms of Service

The agreement governing your use of Auctus Apex websites, systems, and services.

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services (collectively, the “Services”) provided by Auctus Apex LLC ("Auctus Apex," “we,” “our,” or “us”). By using our Services, you agree to be bound by these Terms. If you do not agree, please refrain from using our Services.

1. Use of Services

You agree to use our Services only for lawful purposes and in compliance with all applicable laws and regulations. Unauthorized or malicious use of Auctus Apex systems, AI products, or content—including data scraping, reverse engineering, probing, denial-of-service attempts, credential stuffing, automated access not authorized by us, or attempts to bypass access controls—is strictly prohibited.

2. Eligibility, Accounts, and Access (Portal is invite-only)

The Auctus Apex Client Portal is not available for public sign-up. Accounts are provisioned by Auctus Apex and/or by an authorized administrator for a customer workspace (“tenant”). You represent that you are authorized to access the tenant you use, and you are responsible for all activity that occurs under your account. You must promptly notify us of any suspected unauthorized access.

3. Risk-Based Security Controls, Monitoring, and Enforcement

To protect our Services, customers, and users, we may implement security controls and monitoring designed to detect, prevent, and investigate fraud, abuse, and unauthorized access. These controls may include rate limiting, session invalidation, device and network risk signals, and analysis of IP address and approximate location derived from IP. We may block, restrict, suspend, or require additional verification for access attempts that appear suspicious (including logins from high-risk geographies, anonymizing services such as VPNs/proxies/Tor, unusual devices, repeated failed attempts, or other anomalous activity). We may require step-up verification through separate channels (e.g., email-based verification, administrator approval, or other methods) before restoring access.

4. Portal Editing, Publishing, and Collaboration Indicators

The Portal may provide draft, preview, and publishing functionality, along with collaboration indicators (for example, presence notifications that another authorized user in the same tenant is in “Editing mode”). You acknowledge that multiple authorized users may make changes concurrently, and conflicting edits may occur. You are responsible for reviewing changes before saving or publishing. Except to the extent required by law or expressly agreed in writing, Auctus Apex is not responsible for losses or issues arising from conflicting edits or instructions provided by authorized users.

5. Intellectual Property

All content, code, trademarks, and materials available through Auctus Apex are the exclusive property of Auctus Apex LLC or its licensors. You may not copy, modify, reproduce, or distribute any Auctus Apex materials except as expressly permitted in writing.

6. Client Deliverables

Upon full payment, clients receive a non-exclusive, non-transferable license to use the deliverables provided by Auctus Apex. Any AI logic, frameworks, or proprietary software components remain the intellectual property of Auctus Apex LLC unless otherwise specified in a written agreement.

7. Customer Content, Uploads, and Storage

You (or the applicable customer) retain ownership of content you submit, edit, or upload through the Services (“Customer Content”). You grant Auctus Apex a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Customer Content solely to provide, secure, and improve the Services and as otherwise permitted by applicable agreements. Customer Content in the Portal is scoped to a tenant/workspace and is not intended to be shared across unrelated customers. You are responsible for ensuring you have all necessary rights to Customer Content and for complying with applicable law when uploading or publishing content.

8. Payments & Fees

All payments for services must be made in accordance with the agreed proposal or invoice. Late payments may result in service suspension or additional fees. Fees are non-refundable unless otherwise required by law or explicitly stated in a contract.

9. Third-Party Integrations

Some Auctus Apex Services integrate with third-party platforms. You acknowledge that use of such integrations is also subject to each provider’s terms and policies. Auctus Apex is not responsible for the performance, uptime, availability, or security of third-party systems.

10. Confidentiality

Auctus Apex maintains the confidentiality of client data and projects consistent with applicable agreements. Clients agree to keep any proprietary methods, frameworks, and non-public technical information disclosed by Auctus Apex strictly confidential and not to share, resell, or reproduce them, except as expressly authorized in writing.

11. Service Modifications and Availability

We may modify, suspend, or discontinue parts of the Services at any time for maintenance, security, compliance, or improvement. We will use commercially reasonable efforts to maintain availability, but we do not guarantee uninterrupted operation unless expressly agreed in writing (for example, in a separate SLA).

12. Termination and Suspension

We reserve the right to suspend or restrict access to the Services if you breach these Terms, if we reasonably believe your account is compromised, if your activity presents a security risk, or if required for legal or compliance reasons. Upon termination, all rights granted under these Terms will cease immediately.

13. Limitation of Liability

To the fullest extent permitted by law, Auctus Apex LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use our Services. Our total liability for any claim shall not exceed the amount paid by the client for the specific service giving rise to the claim.

14. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved in the competent courts of Wyoming unless otherwise required by law.
